"THAT the Durham Catholic District School Board approve the composition of the Board of Directors for the Durham Catholic Children's Foundation as per the staff report dated April 28, 2014."

RATIONALE:

A critical component of the forthcoming Strategic Plan is the concepts of Equity and Evangelization.  In particular within the Witnessing Faith pillar there is an emphasis on social justice and support of the most vulnerable within our Catholic School system. The formation of the Durham Catholic Children's Foundation will provide a vehicle to meet this moral imperative.  In order to proceed with the necessary legal infrastructure staff is requesting approval to incorporate the Foundation and to initiate the formation of a formal Board of Directors as is required to operate the venture.

Upon the advice of external legal counsel it is recommended that the composition of the Board of Directors be weighted so as to maintain a non-arms length relationship (ie - under the influence and control) with the Durham Catholic District School Board.  In reviewing the composition of other Catholic School Board Foundations and in keeping with the advice of legal counsel staff is recommending the following:

2 Trustees of the Durham Catholic District School Board
2 Members of Senior Administration of the DCDSB
1 Principal/Vice Principal Representative from DCDSB
1 Teaching Representative from within DCDSB
1 Non-Teaching Representative from within DCDSB
1 Retiree of the Durham Catholic District School Board
1 Student Representative from within DCDSB
1 Parent Representative from within DCDSB
1 Member of the Clergy or Parish Designate
1 Member of the Broader Catholic Community

Once approved staff will complete the legal incorporation and the Director of Education will initiate advertisement and selection processes in order to form the official Board of Directors of the Durham Catholic Children's Foundation. The Foundation Board of Directors will then proceed to adopt the requisite Terms of Reference, By-Laws, Mission, Vision and Infrastructure under the guidance of the Director of Education with the assistance of the Superintendent of Faith Formation, the Superintendent of Business & Chief Financial Officer, and the Board's Chief Information Officer, each of whom will be assigned an operational component of the Foundation as part of their respective duties and responsibilities.

As Trustees are aware two events are already planned under the auspices of the Foundation.  The first being the Inaugural Foundation Dinner on May 9, 2014 followed by the Foundation Golf Tournament on July 3, 2014.  Other events such as the Annual Christmas Dance and CEC Silent Auction as well as providing support for the Food for Clothing Exchange Program are planned for November 2014 in support of families and students within the Durham Catholic community.

Updates will be provided to Trustees as the Board of Directors takes form and as future events are finalized. An annual report regarding the Foundation's activities will also be provided to the Board of Trustees as part of the year end audited financial statements.
